- Forming entities and drafting and negotiating a variety of legal documents, including, partnership, shareholder and operating agreements, employment agreements and buy-sell agreements.
- Structuring and effectuating the sale and purchase of businesses, assets or divisions and joint ventures.
- Representing companies and individuals in debt and equity financing.
- Representing health care entities, including surgery centers, diagnostic facilities, oncology centers and catheterization laboratories.
- Auditing and analyzing arrangements to ensure that clients assume minimum risk under fraud and abuse, fee-splitting statutes, Stark II, related anti-referral laws and Medicare and Medicaid rules and regulations.
- Representing developers, landlords and tenants of Medical Office Buildings and Health Care Facilities.
- Resolving a variety of business disputes between partners and/or unrelated third parties.
